The scope of work, timeline, and deliverables will be detailed in a separate agreement or proposal. Any changes or additional requests may result in a revision of costs and timelines.
Client Responsibilities
To enable us to deliver optimal services, the Client must:
- Provide accurate and timely access to relevant information and assets.
- Refrain from implementing changes that could negatively affect SEO efforts without prior consultation.
4. Payment Terms
- All payments must be made as agreed upon in the invoice or service agreement.
- Late payments may incur additional charges or result in suspension of services.
- Any third-party fees (e.g., hosting, ads, tools) are the Client’s responsibility unless specified otherwise.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the term of this Agreement.
6. Intellectual Property
Any content, strategies, or deliverables provided as part of the Services are the property of the Company until full payment is received. Upon payment, ownership will transfer to the Client.
7. Termination
This Agreement may be terminated by either party with 30 days’ written notice. If terminated before completion of services:
- The Client will pay for all work completed up to the termination date.
- Any prepaid fees are non-refundable unless otherwise stated.
8. Limitation of Liability
We are not responsible for:
- Loss of revenue or profits resulting from changes in search engine algorithms.
- Negative impacts caused by Client actions without prior consultation.
Our liability is limited to the amount paid by the Client for the services in question.
9. No Guarantee
Search engine optimization is a process influenced by numerous factors outside our control. We do not guarantee specific rankings, traffic improvements, or revenue increases.
10. Indemnification
The Client agrees to indemnify and hold harmless Chicago SEO Services against any claims, losses, or damages arising from their use of our services.
11. Changes to Terms
We may update these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of Illinois. Any disputes will be resolved in the courts of Illinois.
